Free ATM Placement Terms of Service

ATM PLACEMENT AGREEMENT This agreement is made and entered into and effective on

between 333 Corp dba Legacy ATM and or its affiliates. ("ATM Processor") and
("Location")
for the placement of an automated teller machine ("ATM") which will be located at
.
 
Equipment: ATM Processor owns the automated teller machine ("ATM") unless Location buys the ATM. Location agrees that ATM Processor may install, operate, and maintain its ATM on Location’s premises. Location shall provide such space for the ATM as is reasonably necessary to enable customers to have access to the ATM and for maintenance and servicing of the ATM.
 
Availability: Location agrees that the ATM shall at all times remain available for use by Location’s customers during Location's normal business hours for the term of this Agreement. ATM Processor reserves the right to schedule reasonable downtime to accomplish necessary maintenance or system improvements, not to exceed five-percent (5%) of available time each calendar month.
 
Installation: ATM Processor agrees to ship and install the ATM and deliver initial supplies to Location at no cost. The ATM shall be and remain the sole property of the ATM Processor. ATM will be secured to the floor with four (4) 4" bolts, half inch in diameter. Signage shall be approved in advance by Location at its sole discretion.
 
Maintenance/Repair: ATM Processor or its representative shall at any reasonable time and at all times during business hours have the right to enter into and upon the Premises for the purposes of inspecting, repairing, maintaining or upgrading the ATM and observing its use.
 
Processing Services: Location agrees that ATM Processor will provide ATM processing services.
 
Inventory Requirements: ATM Processor or its Agent shall be responsible to keep sufficient amounts of cash in the ATM at all times. The ATM machine and the cash inventory shall remain the sole property of the ATM Processor or its Agent.
 
Phone & Electrical Requirements: Location, shall at its expense, provide and maintain a dedicated or shared business dial-up telephone line or internet connection and one (1) dedicated operating electrical power outlet (110V). Location shall pay for monthly charges incurred in connection with such services.
 
Exclusivity: Location shall not permit the removal of the ATM from the Premises nor allow the placement of any other ATM on the premises (whether inside or outside), not subscribe to any other data processing service for processing ATM transactions during the term of this Agreement, except as may be specifically approved by ATM Processor in writing.
 
Damage/Loss: Location agrees with due diligence to protect the ATM from damage, loss, theft, or destruction by providing a secure facility for the ATM. Location agrees to release ATM Processor of all liability in regards to property damage at the Location during the term of this agreement.
 
Property Ownership or Lease Terms: Location represents and warrants that it is the owner of the Premises or that it holds a lease option to renew the lease for the Premises of equal or greater length than the initial term of this Agreement. Location agrees to notify ATM Processor 60 days in advance if the Locations lease is ending prematurely for any reason.
 
Term: This Non Cancel-able Agreement shall be for term of 3 months (90 days) from the scheduled date of the installation, unless amended or terminated by written agreement signed by both Location and ATM Processor or its successor in interest. Upon expiration of the initial term, this Agreement will automatically renew for terms of Five (5) years on the same terms and conditions as provided herein unless cancelled by written notice at least ninety (90) days prior to the expiration of each term.
 
Upon Termination or Cancellation: ATM Processor shall remove the ATM and any improvements from the premises on the termination of this Agreement,if applicable. The removal will include the ATM and all the improvements from the premises. Damage to floors or other areas of the Locations facility do to the removal of the ATM will be the responsibility of the location and Location agrees to release ATM Processor of any responsibility.
 
Fees: The ATM Processor charges no installation fees UNLESS specified here.
 
Surcharge: ATM Processor monitors and determines the fair market value for ATM transactions on a regular basis. Location agrees that the ATM Processor will set the ATM surcharge.
 
Location Compensation: 333 Corp DBA Legacy ATM or its affiliate shall pay the location quarterly revenue. Location Owner or its assignee shall be paid $0.50 per surcharge transaction. IN WITNESS WHEREOF, the undersigned duly authorized representative of the parties has executed this Agreement.
